Terms of Service

These Terms of Service ("Terms") govern your use of the Repsity website at www.repsity.com and application at app.repsity.com (together, the "Services"), operated by Repsity ("we," "our," or "us"). By accessing or using the Services, you agree to these Terms.

1. Beta Access

Repsity is currently in a closed beta. Access is granted at our discretion, and features may change, break, or be removed without notice during the beta period. While Repsity is in beta, the Services are provided free of charge, subject to these Terms.

2. Your Account

You must provide accurate information when creating an account. You are responsible for activity that occurs under your account, including actions taken by collaborators you invite into your workspace. Notify us at [email protected] immediately if you believe your account has been accessed without authorization.

3. Acceptable Use

You agree not to:

  • Use the Services to violate any law or the rights of any third party
  • Upload malicious code or attempt to breach the security of the Services
  • Reverse engineer, scrape, or resell the Services
  • Use the Services to send spam or unsolicited communications
  • Impersonate another person or misrepresent your affiliation with a brokerage or firm

4. Your Content

You retain ownership of everything you upload to Repsity — properties, documents, contracts, contacts, messages, and workflow data ("Your Content"). You grant us a limited license to host, store, and display Your Content as necessary to provide the Services to you and your invited collaborators.

You are responsible for ensuring you have the right to upload and share Your Content, including any documents or information covered by confidentiality agreements with your clients or counterparties.

5. Cross-Brokerage and Third-Party Collaboration

Repsity is designed for shared deal workspaces. When you invite a co-broker, client, or service provider into a deal, they will have access to the portions of the workspace you grant them. You are responsible for the invitations you send.

6. Intellectual Property

The Services, including all software, design, branding, and written content, are owned by Repsity and protected by intellectual property law. Nothing in these Terms transfers ownership of our intellectual property to you.

7. Termination

You can stop using the Services at any time. We may suspend or terminate your access if you violate these Terms, create legal or security risk for us or other users, or if we discontinue the Services. If we terminate your account for a reason other than your violation of these Terms, you will have 30 days to export your data.

8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Services will be uninterrupted, error-free, or secure. Repsity is a tool for running real estate transactions — it is not a substitute for legal, financial, or real estate advice. Decisions you make based on content in your workspace are your own.

9. Limitation of Liability

To the maximum extent permitted by law, Repsity's total liability for any claim arising out of or relating to the Services is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) $100.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.

10. Changes to These Terms

We may update these Terms as the product evolves. Material changes will be communicated via email or in-app notice. Continued use of the Services after an update constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in Jackson County, Missouri.
